The parties hereto acknowledge thatcertain lumpsum payments to be paid to PaineWebber as an owner of the PurchaseCPIs may relate to deficiencies in CPI payments previously paid to PaineWebber.Pursuant to the Settlement Agreement, the parties hereto further acknowledgethat Centocor will make certain payments to owners of the spider man costume CPIs if certainpayments are received by Centocor from the Fujisawa Pharmaceutical Company, Ltd.(the “Fujisawa Milestone Payments”).

Attribution of Lumpsum Payments Pursuant to the SettlementAgreement. Notwithstanding the foregoing, (i) any payments relating to theCentocor Litigation which are to be paid upon catsuit judicial approval of theSettlement Agreement (ii) the Sales Payment, and (iii) payments ordered by theCourt as stipulated to by the latex clothes to the Centocor Litigation to adjust forshortfalls or deficiencies in all periods prior to the first quarter of 1999 are to inure to the benefit of, and be paid to, PaineWebber, andpayments ordered by the Court as stipulated by the parties to the CentocorLitigation to adjust for shortfalls or deficiencies in all periods after thefourth quarter of 1998 are to inure to the benefit of, and be paid to, thePharma Affiliates in proportion to the number of CPIs owned by the PharmaAffiliates after the Closing on the Closing Date.

Payment of Fujisawa Milestone Payments to the PharmaAffiliates.
